[EXLUSIVE PROGRAM IN VIETNAM ]


  1. PURPOSE AND SCOPE OF APPLICATION
    1.1. Purpose: (i) To increase the number of customers by leveraging drivers' existing networks and to reduce recruitment/marketing costs through the referral of new drivers; and (ii) to encourage drivers to make full and on-time payments when purchasing liquidated vehicles.
    1.2. Scope of application: The Program consists of two parts:
    • Part A – Driver Referral: applicable to all individuals who successfully refer a new driver who signs an Electric Motorbike Rental Agreement with AIZEN Credit Company Limited in accordance with the Program's regulations.
    • Part B – Cashback: applicable to drivers who have a valid Liquidated Vehicle Purchase Agreement with AIZEN Credit Company Limited and who satisfy the conditions for receiving cashback as set out in this Program.
    1.3. Period of application: From August 1, 2026 to September 30, 2026. The Company reserves the right to adjust, suspend, or terminate the Program and will provide at least 7 working days' prior notice; such adjustment shall not affect cases that have already satisfied the conditions for receiving a reward/cashback prior to the notice date.


  2. DEFINITIONS
    •“Referrer”: Any individual who has information about the Program and wishes to refer a new driver to sign a Vehicle Rental Agreement with AIZEN Credit Company Limited.
    • “Referred Person”: An individual who has never signed a Vehicle Rental Agreement with the Company, who is referred by a Referrer and subsequently signs a Vehicle Rental Agreement.
    • “Referral Code”: A unique identification code issued by AIZEN Credit Company Limited to each individual to track the source of referrals.
    • “Successful Referral”: A case that fully satisfies the conditions set out in Sections A.2 and A.3 of this Program.
    • “Liquidated Vehicle”: A used electric motorbike that has been liquidated by the Company and resold to a
    driver under a Liquidated Vehicle Purchase Agreement.
    • “Final Payment Period”: The final installment period under a Liquidated Vehicle Purchase Agreement, at
    which the driver pays the remaining balance in full and settles the entire contract value (100% of the vehicle's value).
    • “Cashback”: The amount refunded by the Company to a driver who purchases a liquidated vehicle upon fully satisfying the conditions set out in Part B of this Program.

    1. PART A: REFERRAL OF NEW DRIVERS
      A.1. Conditions for the Referrer
      • Is an individual who registers to participate in the Program in accordance with the Company's regulations.
      • Where the Referrer is a driver with a valid Vehicle Rental Agreement with the Company at the time of the referral and at the time the reward is paid, the following conditions must be met:
      – No overdue debts (rental fees, penalty fees, compensation, etc.) at the time the reward is paid.
      – At the time of receiving the reward, no administrative or traffic violations, no damage caused to the
      Company's rented vehicle, and no loss of the charger, battery, or accessory mirrors provided with the
      vehicle.
      A.2. Conditions for the Referred Person
      • Is an individual who has never previously signed a Vehicle Rental Agreement with the Company (verified via ID card/citizen ID and phone number).
      • Correctly enters the Referrer's Referral Code at the time of registering/signing the Vehicle Rental Agreement (codes added after the agreement has been signed will not be accepted).
      A.3. Milestones for confirming a “Successful Referral” (all 3 milestones must be met)
      Milestone 1 – Signing the agreement: The Referred Person signs a valid Vehicle Rental Agreement with a complete file in accordance with the Company's regulations.
      Milestone 2 – Receiving the vehicle & operation: The Referred Person has received the vehicle and has actually operated it for a minimum of 30 days from the date the Vehicle Rental Agreement is signed.
      Milestone 3 – First month's payment: The Referred Person pays the rental fee for the first 30 days of operation in full and on time, with no overdue debt arising.
      Note: The reward is only recorded and paid after Milestone 3 has been completed. If the Referred Person cancels the agreement, returns the vehicle early, or fails to make payment before Milestone 3 is completed, the referral will not be counted toward a reward.
      A.4. Reward level and payment method
      a) Reward level for each successful referral, before deduction of personal income tax (if applicable, as set out in
      Section 6):
      • A reward of VND 500,000 if the Referred Person signs an Operating Lease Agreement with AIZEN Credit Company Limited.
      • A reward of VND 250,000 if the Referred Person signs a Short-Term Rental Agreement with a minimum term of 3 months or more with AIZEN Credit Company Limited.
      b) Payment method: The Referrer may choose one of the following two methods:
      • Direct deduction from the rental fee of the next payment period, provided that the Referrer is a driver with a valid Vehicle Rental Agreement with the Company at the time of the referral and at the time the reward is paid; or
      • Bank transfer to the bank account registered with the Company.
      c) Payment timing: Rewards are paid in monthly batches. For cases where Milestone 3 (Section A.3) is completed within month N, the Company will consolidate and pay the reward no later than the 15th of month N+1. If the 15th falls on a weekend or public holiday, the payment date will be postponed to the next working day.
      A.5. Anti-fraud provisions
      The Company reserves the right to refuse to record or to recover a reward already paid in the following cases:
      • The Referrer and the Referred Person use the same ID card/citizen ID, the same bank account number, the same residential address, or show signs of being the same individual.
      • Use of forged personal identification documents, false declared information, or “fake” accounts to create
      fictitious referrals.
      • Signs of collusion between the Referrer and the Referred Person to sign an agreement and make the first
      month's payment, then cancel the agreement/return the vehicle immediately after receiving the reward.
      • The Referred Person has a prior contract history with the Company (under a different name or with altered information) for the purpose of creating a fictitious referral. Any suspected case of fraud will be verified by the Operations Department before the reward is paid; the Company has full and final decision-making authority and may suspend the participation eligibility of any individual found in violation.

    2. PART B: CASHBACK FOR DRIVERS PURCHASING A LIQUIDATED VEHICLE
      AT THE FINAL PAYMENT PERIOD
      B.1. Conditions for the refund
      A driver is entitled to a refund upon fully and simultaneously satisfying the following conditions:
      • Signs a 12-month Operating Lease Agreement with the Company during the Program period specified in
      Section 1.3. Where the Operating Lease Agreement is converted from a Short-Term Rental Agreement, the rental period under the Short-Term Rental Agreement is accumulated with the term of the Operating Lease Agreement to determine whether the 12-month rental term has been met.
      • Has signed a valid Liquidated Vehicle Purchase Agreement with a complete file in accordance with the
      Company's regulations.
      • Has paid 100% of the liquidated vehicle's value under the Agreement in full, completed at the final payment period (full settlement of the entire agreement).
      • Has no overdue debt (rental fees, vehicle purchase payments, penalty fees, compensation, etc.) owed to the Company at the time of the refund.
      • At the time of receiving the refund, has no administrative or traffic violations and has caused no damage to the liquidated vehicle.
      Note: The refund is only recorded and paid after the driver has completed payment of the final installment and the Company has confirmed that the agreement has been fully settled. Where the driver settles the full contract value early, the refund will still be recorded based on the actual settlement date.
      B.2. Refund amount and payment method
      a) Refund amount: VND 2,000,000 (two million dong exactly) for each Liquidated Vehicle Purchase Agreement that has been settled and meets the conditions set out in Section B.1.
      b) Payment method: The Company will transfer the amount to the bank account the driver has registered with the Company.
      c) Payment timing: Within 7 (seven) working days from the date the Company confirms receipt of the full payment for the final payment period.
      B.3. Cases not eligible for a refund
      • The driver has overdue debt at the time of the refund.
      • The Liquidated Vehicle Purchase Agreement is terminated, cancelled, or the vehicle is repossessed before the final payment period is completed.
      • Forged documents/identification papers or falsely declared information related to the Vehicle Purchase Agreement are discovered.


  3. IMPLEMENTATION PROCESS

  1. For Part A – Referral of new drivers:
    • The Referrer obtains their personal Referral Code through the Company's Operations Department and
    shares the code with acquaintances who wish to rent a vehicle. The Referred Person registers, enters the Referral Code, and proceeds to sign the Vehicle Rental Agreement.
    • The Operations Department cross-checks and verifies the information and updates the referral status in the system.
    • Once the Referred Person has completed Milestone 3, the Accounting Department confirms and proceeds to pay the reward in accordance with Section A.4.

  2. For Part B – Cashback for drivers purchasing a liquidated vehicle:
    • The Accounting Department reviews the list of Liquidated Vehicle Purchase Agreements reaching their final payment period within the month and cross-checks outstanding debts.
    • The Operations Department confirms that the agreement has been fully settled.
    • The Chief Accountant approves the payment list and prepares the transfer request; the Company makes
    payment in accordance with Section B.2.

  3. In both cases, drivers receive notification of the result via the app/text message/Zalo and may check their status at any time.


  4. COMPLAINTS AND SUPPORT
    If a driver believes that a referral reward (Part A) or a cashback amount (Part B) has not been correctly recorded, they may submit a complaint within 15 days from the date the relevant event occurred (the date the Referred Person signs the agreement, or the date the Liquidated Vehicle Purchase Agreement is settled), through the following channels:
    • Direct contact at the Company's office.
    • App: Zalo.
    • Email: outputinv@aizen.co.
    The Operations Department is responsible for responding within 5 working days of receiving the complaint.


  5. PERSONAL INCOME TAX OBLIGATIONS
    The referral reward under Part A is classified as the Referrer's occasional/incidental income. The Company is responsible for withholding personal income tax before payment in accordance with the laws in effect at the time of payment (if the payment is subject to withholding). Referrers and drivers receiving cashback are responsible for providing their personal tax code information (if any) and for signing the payment voucher/receipt as required by the Accounting Department.


  6. INFORMATION CONFIDENTIALITY
    The personal information and contract information of Referrers, Referred Persons, and drivers receiving cashback is collected, stored, and used by the Company solely for the purposes of managing, verifying, and implementing this Program, in compliance with applicable personal data protection laws.


  7. IMPLEMENTATION PROVISIONS
    • This Program takes effect from its date of issuance and will be communicated to all drivers via the app, Zalo groups, and at the Company's transaction points.
    • During implementation, if any issues arise or matters are not yet addressed, the relevant departments shall report to the Board of Directors for timely review and adjustment.
    • The Company's Board of Directors reserves the right to amend and supplement this Program as necessary.
